The download is more up-to-date than the CD. If you install off the CD, you'll need to download all the patches that were released since the CD was mastered.

Other than that, they're exactly the same.

The Cd is less up-to-date than the download.

However if you order the box you get a neat printed version of the backstory and a map of the systems. (plus a month of play where the download is only an 8 hour trial)
